What the companies announced
DEVELOP3D reported on 5 October 2026 that Schneider Electric had agreed to buy PTC in an all-cash deal valuing PTC’s equity at about $22.6 billion. The report cites an offer of $205 per share and says the deal is subject to customary closing conditions.
The companies say they want to connect product and asset data across design, production, operation, and maintenance. The deal would bring together major industrial automation and engineering software businesses.
What customers should watch
Manufacturers will want to know whether engineering data can move more easily into factory operations and product service. A more connected set of products could help, but that depends on how the software is built, integrated, supported, and priced.
For now, customers should separate the companies’ plans from changes they can see in their own tools. A proposed acquisition does not automatically change software roadmaps, licenses, support, or integrations.
The deal hasn’t closed
At the time of the 5 October 2026 reporting, the transaction had not closed. DEVELOP3D reported that the companies expected to close by the third quarter of 2027, subject to approvals and other conditions.
This is a deal to follow, not a completed merger or a promise of changes to the products. We’ll update this article if the companies announce a material development.
